SMOOTHTRANSFERS
GROUND TRANSPORTATION PLATFORM SERVICES AGREEMENT
GENERAL TERMS & CONDITIONS (T&Cs)

INTRODUCTION

Agreement Documents

These General T&Cs form part of the Agreement. This “Agreement” is made up of these General T&Cs, the Service Level Agreement and any other documents appended to or incorporated by reference into the aforementioned documents. If there is a conflict between any of these documents, it shall be resolved by applying the documents in the stated order (prevailing document first).

THE SERVICES

Partner Services

The Partner shall provide itself, or procure through its Related Parties:

  • the delivery of the Transportation Services to SmoothTransfers Customers;
  • technological platform aggregator services which facilitate:
    1. enabling the provision of Transportation Services by the End Fleet and/or Drivers,
    2. transmission and collation of Content via the SmoothTransfers API to enable the booking of Transportation Services,
    3. making and managing Bookings with its End Fleet and Drivers, and
    4. collection of payments on behalf of its End Fleet or Drivers and subsequent distribution of payments in exchange for delivered Transportation Services (the “Platform Aggregator Services”).

SmoothTransfers Services

The Partner hereby appoints SmoothTransfers and/or its Affiliate Partners to act as the Partner’s non-exclusive agent to:

  • market and facilitate reservations of Transportation Services to Customers via the SmoothTransfers platform;
  • receive and accept orders and conclude contracts with Customers on behalf of the Partner;
  • collect the Contract Price for and on behalf of the Partner;
  • provide first-line customer service support to Customers.

Together, these are referred to as the “SmoothTransfers Services.”

SmoothTransfers Standard Customer Terms

By entering into this Agreement, the Partner authorises SmoothTransfers (and its Affiliate Partners, where applicable) to enable Customers to enter into a contractual relationship with the Partner and/or End Fleet and/or Drivers for Transportation Services via the SmoothTransfers Platform.

SmoothTransfers solely enables the meeting of supply and demand. The conclusion of the Booking remains at the sole discretion of the Partner and/or End Fleet and/or Driver and the Customer.

For all Transportation Services, the contractual relationship is between the Partner (and/or its Drivers/End Fleet) and the Customer — not SmoothTransfers or its Affiliate Partners.

PARTNER RESPONSIBILITIES

The Partner shall perform its obligations:

  • in accordance with SmoothTransfers Policies;
  • in a manner that maintains SmoothTransfers’ goodwill and reputation;
  • in accordance with the Partner Operating Document and Service Level Agreement;
  • using the Rates and Time Estimates provided via the SmoothTransfers Partner API or Dashboard;
  • by providing accurate Vehicle and Driver Details upon accepting a Booking;
  • by using the SmoothTransfers Partner Dashboard or API solely for providing Partner Services;
  • by meeting onboarding and technical requirements;
  • by implementing mandatory technical updates;
  • by not soliciting Customers outside the SmoothTransfers platform;
  • by not disparaging SmoothTransfers or its Affiliate Partners;
  • by ensuring all Vehicles are roadworthy, insured, and legally compliant;
  • by providing an upgraded Vehicle at no additional cost if the booked Vehicle class is unavailable.

SMOOTHTRANSFERS RESPONSIBILITIES

SmoothTransfers agrees to:

  • provide access to the SmoothTransfers Partner API and/or Partner Dashboard;
  • market Transportation Services to Customers;
  • ensure Customers understand their contract is with the Partner, not SmoothTransfers.

AVAILABILITY, RATES & CHARGES

The Partner shall:

  • Provide Rates inclusive of all mandatory charges and Taxes.
  • Not charge Customers directly unless expressly permitted under this Agreement.

DEALS & PROMOTIONS

  • SmoothTransfers may offer Customer incentives at its own cost.
  • Any exclusive promotions offered to SmoothTransfers shall remain exclusive unless otherwise agreed in writing.

DATA PROTECTION

  • The Partner shall comply with SmoothTransfers Data Protection provisions and Security Requirements.
  • SmoothTransfers remains Data Controller of SmoothTransfers Data.
  • The Partner acts as independent Data Controller where applicable.
  • Personal Data may only be processed strictly for fulfilling Transportation Services and in compliance with Applicable Data Protection Law.

FRAUDULENT OR ILLEGAL TRANSACTIONS

  • SmoothTransfers may suspend payments for transactions reasonably believed to be fraudulent or unlawful.
  • If fraud or non-compliance occurs, SmoothTransfers may recover all related costs and damages from the Partner.

INTELLECTUAL PROPERTY

SmoothTransfers retains ownership of:

  • SmoothTransfers Platform
  • SmoothTransfers trademarks
  • SmoothTransfers Materials
  • Booking Data

The Partner retains ownership of its Content but grants SmoothTransfers a worldwide, royalty-free licence to use such Content for purposes of the Agreement.

SERVICE LEVEL AGREEMENT (SLA)

Drivers and Vehicles must meet the following conditions:

Vehicle Requirements

  • Properly maintained and serviced
  • Clean inside and outside
  • Non-smoking
  • Premium vehicles not older than five (5) years

Driver Requirements

  • Professionally dressed and groomed
  • No smoking
  • No mobile phone usage while driving
  • Professional, friendly, and discreet behavior

DRIVER NO-SHOW POLICY

If a booking is accepted and not fulfilled:

Penalty = Full price of booking + any additional costs incurred by SmoothTransfers to complete the ride.

Repeated failures may result in immediate termination of the partnership.

CUSTOMER NO-SHOW POLICY

Driver must:

  • Wait the included waiting time
  • Attempt to contact Customer
  • Provide evidence (call logs, GPS screenshot, parking ticket, etc.)

Without proper evidence, the case may be treated as a Driver No-Show.

LIABILITY

  • SmoothTransfers acts only as an agent.
  • SmoothTransfers shall not be liable for Transportation Services provided by the Partner, Drivers, or End Fleet.
  • Maximum aggregate liability (except where legally prohibited) shall not exceed:
    • 100% of Commission paid in the preceding 12 months, or
    • €10,000
    • Whichever is greater.

TERM & TERMINATION

Either party may terminate:

  • For material breach
  • For insolvency
  • For change in law
  • For persistent Service Level failures

SmoothTransfers may suspend or restrict access immediately where required for safety, fraud, or legal compliance reasons.

GOVERNING LAW

  • This Agreement shall be governed by English law.
  • Disputes shall be settled by arbitration under the Rules of the International Chamber of Commerce.

SMOOTHTRANSFERS DATA PROTECTION & PRIVACY

This Privacy Policy describes how SmoothTransfers and its affiliate partners (“we”, “us”) process personal data in connection with the SmoothTransfers platform, partner services, and transportation bookings. It forms part of our agreement with partners and applies to our handling of data relating to customers, drivers, and partners.

Data Controller

SmoothTransfers remains Data Controller of SmoothTransfers Data (including booking data, platform usage data, and data collected via the SmoothTransfers API or Dashboard). Where partners process personal data for the provision of Transportation Services, they may act as independent Data Controllers in accordance with applicable data protection law.

Compliance & Security

  • Partners shall comply with SmoothTransfers Data Protection provisions and Security Requirements.
  • Personal Data may only be processed for the purpose of fulfilling Transportation Services and in compliance with Applicable Data Protection Law.
  • We implement appropriate technical and organisational measures to protect personal data against unauthorised access, loss, or misuse.

Purposes of Processing

We process personal data to:

  • enable bookings and the provision of Transportation Services;
  • operate and improve the SmoothTransfers platform;
  • communicate with customers and partners;
  • comply with legal and regulatory obligations;
  • prevent fraud and ensure security.

Your Rights

Depending on applicable law, you may have the right to access, rectify, erase, restrict processing, data portability, or object to processing of your personal data. You may also have the right to lodge a complaint with a supervisory authority. To exercise these rights or for any privacy-related questions, please contact us using the details on our Contact page.

Updates

We may update this Privacy Policy from time to time. The current version will always be available on this page. Continued use of the SmoothTransfers platform after changes constitutes acceptance of the updated policy.
